Welcome to AnvilNote.
These Terms of Service (these "Terms") govern the rights and obligations between you and the AnvilNote project maintainers when you download, install, access, or use the AnvilNote desktop app, web app, related program components, website, documentation, and other features or resources officially provided by the AnvilNote project.
By downloading, installing, accessing, or using AnvilNote, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to all or any part of these Terms, please do not continue to use AnvilNote.
If you use AnvilNote on behalf of a company, school, agency, organization, or other entity, you represent and warrant that you are authorized to accept these Terms on that entity's behalf; in that case, references to "you" in these Terms also include that entity.
1. Definitions
Unless otherwise provided in these Terms, the following terms have the meanings set out below:
- AnvilNote: the desktop application, web application, related program components, command-line tools, documentation, website, and accompanying features officially provided by the AnvilNote project.
- Project maintainers: the individuals or team responsible for maintaining, publishing, or managing the official AnvilNote project, official website, or official program versions.
- User content: text, images, tables, formulas, code, files, and other data that you create, enter, edit, import, attach, convert, or export through AnvilNote.
- Third-party services: products or services that are not operated or controlled by the AnvilNote project maintainers but that may be used in conjunction with AnvilNote, including the OpenAI API, GitHub, operating system services, external fonts, Typst packages, and other third-party software.
- AI Smart Mode: an optional feature by which a user configures their own API key for a third-party artificial intelligence service and, through AnvilNote, transmits specified content to that service to generate, rewrite, analyze, or otherwise process content.
2. Eligibility
You must have full legal capacity to enter into contracts on your own under applicable law in order to agree to these Terms yourself.
If you are a person with limited legal capacity or otherwise required by law to obtain the consent of a legal representative, your legal representative must read and agree to these Terms before you may use AnvilNote.
When you use the OpenAI API or other third-party services, you must also satisfy the minimum age, account eligibility, and other conditions of use imposed by that third-party service.
3. License to use the software
Provided that you comply with these Terms and the applicable open-source license terms, you may use AnvilNote for lawful personal, educational, research, academic, non-profit, or commercial purposes, including writing, note-taking, document editing, typesetting, and document export.
The scope of the license for each AnvilNote code repository, package, or component is governed by the open-source license documentation included in that repository or file. These Terms do not replace, narrow, or otherwise alter any open-source license terms that apply as a matter of law.
If these Terms conflict with the open-source license terms applicable to specific code or components, the open-source license terms shall govern the use, reproduction, modification, distribution, and creation of derivative works of that code or those components.
Except as expressly licensed under the applicable license terms, these Terms do not grant you any right to use AnvilNote's trademarks, name, logo, domain names, visual identity, or other brand elements.
4. Official versions and derivative versions
AnvilNote is an open-source project. You may modify, reproduce, or distribute derivative versions in accordance with the applicable open-source license terms.
However, unless you have obtained the prior written consent of the project maintainers, you may not:
- Represent a version you have modified, repackaged, or distributed as an official version of AnvilNote;
- Claim, in a manner likely to mislead an ordinary user, that a licensing, cooperation, agency, endorsement, or other relationship exists between you and the AnvilNote project maintainers;
- Use the AnvilNote name, logo, or a confusingly similar mark in a way that causes confusion regarding the software's origin, maintenance responsibility, or official status;
- Remove copyright notices, license information, or third-party rights notices that must be retained under law or the applicable license terms.
Versions modified, repackaged, or distributed by third parties are not official versions of AnvilNote, and the distributor of such a version is solely responsible for its functionality, security, compatibility, and data handling practices.
5. User content
You retain the copyright and other lawful rights you originally held in your user content. Except as necessary to carry out the local functions you have specified, AnvilNote does not acquire ownership of your user content merely because you use the software.
Because AnvilNote is designed on a local-first basis, user content is, in principle, stored on your own device. Unless you actively enable a third-party connectivity feature, submit content to a public platform, or otherwise transmit content, the project maintainers do not proactively obtain or store your documents.
You represent and warrant that:
- You hold ownership, a lawful license, or other lawful right to use your user content;
- Your user content, and the manner in which you use it, does not infringe any third party's copyright, trademark rights, trade secrets, privacy rights, personal data rights, or other rights;
- Your handling, output, disclosure, or provision of user content complies with applicable law and your contractual obligations;
- You have obtained the consent, authorization, or other lawful basis necessary to process the personal data, confidential information, or other protected content of others;
- You will not use AnvilNote to create, distribute, or facilitate unlawful content or unlawful conduct.
The project maintainers do not review user content in advance, and providing editing, typesetting, or conversion features does not make the project maintainers a co-author, publisher, or content provider with respect to your user content.
6. User responsibilities
You are solely responsible for the following matters:
- The truthfulness, accuracy, completeness, and lawfulness of your user content;
- Document publication, submission, citation, citation formatting, and copyright attribution;
- Backing up and recovery arrangements for important documents;
- The security of your device, operating system, browser, and network environment;
- Safeguarding your API keys, passwords, access credentials, and other authentication information;
- Any costs arising from your use of third-party services;
- Reviewing content, checking formatting, and confirming fitness for actual purpose after document export;
- Legal liability arising from your use, disclosure, transmission, or distribution of user content.
AnvilNote is not a document custody, cloud backup, file hosting, or permanent storage service. You should establish your own independent and appropriate backups for important data.
7. Prohibited conduct
You may not use AnvilNote to engage in any of the following:
- Violating any applicable law, court order, or order of a competent authority;
- Infringing, or assisting in the infringement of, another person's intellectual property rights, privacy rights, personal data rights, reputation, trade secrets, or other lawful interests;
- Gaining unauthorized access to another person's device, account, API key, system, or data;
- Distributing malware, ransomware, trojans, viruses, or other harmful code;
- Interfering with, damaging, or circumventing the security mechanisms of AnvilNote's official website, update service, or related infrastructure;
- Impersonating another person, or making false or misleading statements regarding AnvilNote's official versions, source, features, or maintenance relationships;
- Using another person's API key or payment method without authorization;
- Calling a third-party service in a manner that violates that third party's terms of service or usage policies;
- Using AnvilNote for fraud, harassment, coercion, distribution of malicious content, or other unlawful purposes;
- Otherwise harming the lawful interests of the project maintainers, other users, or third parties.
This section shall not be construed to restrict any viewing, study, modification, reproduction, or distribution expressly permitted under the applicable open-source license terms.
8. AI Smart Mode
8.1 Bring your own API key
AI Smart Mode calls the services provided by OpenAI directly, using an OpenAI API key that you obtain and configure yourself.
The project maintainers are not OpenAI's agent, distributor, trustee, co-service-provider, or payment collection agent. Your account with OpenAI, your API usage, fees, data processing, and other rights and obligations as between you and OpenAI are governed by OpenAI's then-current terms of service, usage policies, and other rules, and are your own responsibility to manage.
The contracts and policies applicable to your use of the OpenAI API are established separately by OpenAI; OpenAI currently also addresses API usage within its service agreement and related policies.
8.2 Costs
AI Smart Mode may give rise to API usage fees, taxes, exchange-rate differences, or other costs. All such costs are charged to you by OpenAI or the relevant third party according to its own pricing, and you are solely responsible for them.
AnvilNote does not control the pricing, quotas, payment methods, refund policies, or rate changes of any third-party service, and does not guarantee that any particular model or feature will remain available free of charge.
You are responsible for configuring and managing your own API usage quotas, budget limits, payment methods, and billing notifications in order to avoid unexpected costs.
8.3 Data transmission
When you actively use AI Smart Mode, the instructions you enter, the document content you actively select, any files you specify, and the context necessary to complete your request may be transmitted directly to OpenAI.
The project maintainers do not operate a separate proxy server for AI Smart Mode to receive, review, or retain such content; however, the relevant third-party service may still process such data in accordance with its own terms, policies, technical architecture, and legal obligations.
Before transmitting data, you should confirm that you have the lawful authority and legal basis to provide such data to OpenAI.
8.4 AI output
Content generated by artificial intelligence may contain errors, omissions, false information, outdated information, bias, fabricated citations, incorrect code, or unsuitable recommendations.
You must not treat AI output as necessarily correct, complete, or fit for any particular purpose. You are responsible for carrying out any necessary verification, testing, proofreading, and professional review before adopting, publishing, submitting, executing, or otherwise relying on AI output.
AI output does not constitute legal, medical, financial, investment, tax, accounting, engineering, or other professional advice. Where important interests or high-risk decisions are involved, you should consult a professional with appropriate qualifications.
8.5 Sensitive and restricted data
Unless you have confirmed that you have lawful authority, appropriate safeguards, and compliance with the applicable third-party service's rules, you should not transmit any of the following to AI Smart Mode:
- API keys, passwords, or other authentication credentials;
- National ID numbers, passport numbers, financial account information, or payment data;
- Medical, health, biometric, or other sensitive personal data;
- Trade secrets, unpublished research results, or other confidential organizational data;
- Content protected by the professional confidentiality obligations of attorneys, physicians, accountants, or other professionals;
- Data whose external transmission is prohibited by law, contract, or school or organizational policy;
- Personal data obtained without the consent of the data subject or lacking another lawful basis.
9. Third-party services and external resources
AnvilNote may be used together with, or may link to, third-party services, open-source components, fonts, packages, websites, or other external resources.
The provision, features, data processing, security measures, pricing, availability, and content of third-party services are controlled entirely by the relevant third party. When you use a third-party service, you must separately comply with that third party's own terms and policies.
The project maintainers do not warrant that:
- Any third-party service will continue to be available;
- Third-party APIs, models, packages, or file formats will remain compatible;
- Third-party services will not change their pricing, usage limits, or technical specifications;
- Third-party content is necessarily accurate, secure, lawful, or fit for your purpose;
- Third-party services will not experience interruptions, data loss, or security incidents.
The suspension, modification, or malfunction of a third-party service may cause some AnvilNote features to become unavailable. The project maintainers may modify, restrict, replace, or remove related features in response to changes in third-party services.
10. Document export and format compatibility
AnvilNote may provide import, export, and conversion features for PDF, DOCX, Markdown, image, and other document formats.
Because fonts, layout engines, operating systems, document readers, versions of Microsoft Word, third-party packages, and file specifications may all differ, the project maintainers do not warrant that:
- Export results will have an identical appearance on every device or in every application;
- Every format, field, formula, chart, table, or footnote can be converted without loss;
- A DOCX document will have identical layout across different versions of Word or other word-processing software;
- Third-party fonts or packages will be available in every environment;
- Document output will meet the formatting requirements of any particular school, publisher, government agency, or organization;
- Exported documents are fit for printing, publication, legal filing, or any other particular purpose.
Before formally publishing, submitting, printing, publishing, or delivering a document, you should independently check the exported content, page numbers, fonts, formulas, charts, citations, footnotes, and layout.
11. Preview and experimental features
Some features may be labeled Alpha, Beta, Preview, Experimental, "experimental feature," "under development," or by another term with a similar meaning.
Such features may:
- Not yet have completed full testing;
- Contain bugs or compatibility issues;
- Offer no guarantee of data format stability;
- Be changed or removed without prior notice;
- Cause changes to document format, malfunctions, or data corruption.
You should not rely on experimental features as an important, sole, or irreplaceable part of your workflow, and should back up related data before using them.
12. Updates, modifications, and discontinuation
The project maintainers may, at any time and for reasons such as feature development, security patching, technical limitations, legal requirements, changes to third-party services, or other reasonable grounds, modify, update, suspend, or terminate all or part of AnvilNote's functionality.
Except as otherwise required by applicable law, the project maintainers are under no obligation to continue maintaining any particular feature, file format, operating system version, third-party integration, or older version of the software.
Even if the desktop app stops receiving updates, it may, in principle, continue to run locally; however, the project maintainers do not warrant the security, compatibility, or availability of an older version of the software.
To maintain information security and document compatibility, we recommend using the latest stable version obtained through official channels.
13. Intellectual property
Except for user content and third-party rights that apply as a matter of law, the copyright, trademark rights, and other intellectual property rights in AnvilNote's official website, documentation, graphical interface, name, logo, design elements, and other content belong to the project maintainers or the original rights holders.
Rights of use with respect to open-source portions are governed by their respective applicable license terms.
Third-party packages, fonts, icons, templates, and other components used by AnvilNote may each be subject to different license terms. The applicable licensing information and attributions are as set out in the in-app "About" page, license documentation, or the source code repositories.
14. Feedback and contributions
If you provide general feedback, suggestions, bug reports, or feature ideas to AnvilNote, you agree that the project maintainers may use, analyze, and incorporate such feedback free of charge for purposes of project development, improvement, maintenance, and promotion, except to the extent you expressly designate the feedback as confidential and the project maintainers agree to keep it confidential.
If you submit code, documentation, templates, translations, or other copyrightable contributions, the related rights and obligations are governed by the open-source license terms, contribution guidelines, and any individual agreements applicable to that code repository.
You must ensure that any content you submit is your own original work, or that you have obtained lawful rights sufficient to submit and license it.
15. No warranty
To the maximum extent permitted by applicable law, AnvilNote and its related features are provided on an "as is" and "as available" basis.
The project maintainers and contributors make no warranty, express, implied, or statutory, including without limitation:
- Any warranty of merchantability or fitness for ordinary use;
- Any warranty of fitness for a particular purpose;
- Any warranty of non-infringement of third-party rights;
- Any warranty that the software will be complete, accurate, timely, or error-free;
- Any warranty that the software will operate continuously, uninterrupted, or securely;
- Any warranty that errors, bugs, or defects will be corrected;
- Any warranty that documents, conversion results, or AI output are accurate or reliable;
- Any warranty of compatibility with any device, operating system, software, package, or third-party service;
- Any warranty that local data will not be lost, corrupted, or accessed without authorization.
The foregoing does not affect any consumer rights that may not be waived or limited in advance under applicable law. Under Taiwan's consumer protection regime, a "consumer" means a person who engages in a transaction, uses goods, or receives services for consumption purposes; the applicable mandatory protections may still apply depending on the specific transactional relationship.
16. Limitation of liability
To the maximum extent permitted by applicable law, the project maintainers, contributors, and other relevant rights holders shall not be liable for the following damages arising from downloading, installing, using, being unable to use, or relying on AnvilNote:
- Loss of documents, drafts, version history, settings, or other data;
- File corruption, formatting errors, or layout discrepancies;
- Business interruption, work delays, or loss of productivity;
- Loss of profits, revenue, goodwill, business opportunities, or anticipated benefits;
- Interruption of a third-party service, account suspension, or API charges;
- Unauthorized use of an API key;
- AI output that is erroneous, false, infringing, or unfit for a particular purpose;
- Indirect, incidental, special, punitive, or consequential damages;
- Claims brought against you by a third party;
- Other damages arising from your use of AnvilNote.
If applicable law does not permit the exclusion of liability in its entirety, the foregoing limitation of liability shall apply to the maximum extent permitted by law.
Nothing in these Terms excludes or limits liability arising from intent or gross negligence, or any liability that may not be excluded or limited in advance under applicable law.
17. Liability for damages
If you cause loss to the project maintainers, a contributor, or a third party by reason of any of the following, you shall bear the corresponding liability for damages under applicable law:
- Breach of these Terms;
- Violation of applicable law;
- Infringement of a third party's rights;
- Unauthorized use of another person's API key, account, data, or content;
- An infringement, unlawful act, or contractual dispute arising from your user content;
- Making a false statement regarding an official version, source, or cooperative relationship.
If you are a consumer protected by applicable consumer protection law, this section shall not be applied in a manner that diminishes any mandatory right you enjoy under law or that imposes on you a liability you would not otherwise bear under law.
18. Discontinuation of use and termination
You may stop using and uninstall AnvilNote at any time.
Because AnvilNote does not, in principle, require you to create an account, the project maintainers generally cannot remotely disable a desktop app already installed on your device.
However, if you use AnvilNote's official website, download service, Issues, Discussions, or other online resources managed by the project maintainers, and you breach these Terms, infringe the rights of others, endanger information security, or violate platform rules, the project maintainers may, to a reasonable and necessary extent, restrict or terminate your access to those online resources.
Upon termination of these Terms, any provision that by its nature should survive—including provisions concerning intellectual property, limitation of liability, governing law, and dispute resolution—shall remain in effect.
19. Privacy
AnvilNote's storage, transmission, and processing of user data is otherwise governed by the Privacy Policy.
These Terms and the Privacy Policy should be read together. If the two differ with respect to the processing of personal data, the Privacy Policy shall govern, except where applicable law otherwise mandatorily requires.
20. Changes to these Terms
The project maintainers may revise these Terms in response to feature changes, technical changes, legal requirements, information security considerations, or changes to third-party services.
The revised Terms will be published on the AnvilNote official website or project page, with the latest update date indicated. Unless otherwise stated, the revised Terms take effect on the date they are published.
If a revision materially affects users' rights and interests, the project maintainers will, to the extent reasonably practicable, provide additional notice by website announcement, release notes, or other appropriate means.
If you continue to use AnvilNote after a revision, you are deemed to agree to be bound by the revised Terms. If you do not agree to the revised content, you should stop using AnvilNote.
21. Severability
If any provision of these Terms is held invalid, unlawful, or unenforceable by a court or competent authority of relevant jurisdiction, that provision shall be limited, adjusted, or excluded to the extent necessary, and the remaining provisions shall remain in full force and effect.
22. No waiver
The project maintainers' failure to promptly exercise or enforce any right under these Terms shall not constitute a waiver of that right.
No single waiver of a right shall be construed as a general waiver of the same or any other breach in the future.
23. Governing law and jurisdiction
The formation, validity, interpretation, and performance of these Terms shall, in principle, be governed by the laws of the Republic of China (Taiwan), except where the mandatory provisions of another country or jurisdiction apply as a matter of law.
Any dispute arising from these Terms or the use of AnvilNote shall first be resolved through good-faith negotiation between the parties.
If negotiation fails, and except as otherwise mandatorily required by applicable law, the parties agree that the Taiwan New Taipei District Court shall be the court of first instance.
This agreement as to jurisdiction does not exclude a consumer's right to bring an action in the court of their domicile, residence, or another court having jurisdiction under applicable law.
24. Entire agreement
These Terms, the Privacy Policy, the license documentation of each code repository, and any other rules expressly incorporated on a feature page, together constitute the entire agreement between you and the project maintainers regarding your use of AnvilNote.
Where the applicable open-source license terms, third-party terms of service, or applicable law provide otherwise, those terms shall govern within their respective scope.
